2. Description of Service

BalanceByte is an adaptive nutrition platform that uses health data from connected wearable devices and fitness platforms to generate personalized, dynamic meal plans. The Service includes:

• Integration with Apple Health, Google Fit, and other health data platforms
• Personalized daily meal plans based on biometric data and fitness goals
• Real cookbook recipes adapted to your nutritional needs
• Continuous recalibration based on your activity, sleep, and recovery data
• Waitlist and referral program features

3. Important Health Disclaimer

You should consult with a qualified healthcare professional before making significant changes to your diet, especially if you have any medical conditions, food allergies, eating disorders, or are pregnant or nursing.

By using the Service, you acknowledge that:

• BalanceByte does not replace professional medical or nutritional advice
• You are responsible for verifying that meal recommendations are appropriate for your specific health needs
• You should seek immediate medical attention for any health emergencies
• Nutritional recommendations are algorithmically generated and may not account for all individual health factors

4. Account Registration

To use certain features, you must create an account. You agree to:

• Provide accurate and complete information during registration
• Maintain the security and confidentiality of your login credentials
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that violate these Terms.

5. Health Data Authorization

To provide our adaptive nutrition service, BalanceByte requests access to health data from your connected devices. By granting this access, you:

• Authorize BalanceByte to read the specific data categories you approve
• Understand that more complete data access leads to better meal plan personalization
• May revoke data access at any time through your device settings or our app
• Acknowledge that revoking access may limit the Service's ability to personalize your experience

6. Subscriptions and Payments

Waitlist and Early Access

Joining the waitlist is free. Founding member pricing and benefits are subject to availability and may be modified before official launch.

Paid Subscriptions

Once the Service launches, certain features may require a paid subscription. Subscription terms, pricing, and billing cycles will be clearly communicated before you are charged. All payments are processed through secure third-party payment processors.

Cancellation and Refunds

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. Refund eligibility will be determined in accordance with applicable law and our refund policy, which will be published at launch.

7. Intellectual Property

All content, features, and functionality of the Service (including text, graphics, logos, algorithms, software, and design) are owned by BalanceByte and protected by copyright, trademark, and other intellectual property laws.

You may not:

• We do not guarantee that the Service will be uninterrupted, error-free, or completely secure
• We are not liable for any health outcomes resulting from following our nutritional recommendations
• Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim

10. Indemnification

You agree to indemnify and hold harmless BalanceByte, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service or violation of these Terms.

11. Modifications to Terms

We may update these Terms from time to time. We will provide notice of material changes through the Service or by email. Continued use of the Service after changes constitutes acceptance of the updated Terms. If you disagree with changes, you should discontinue use of the Service.

12. Termination

We may terminate or suspend your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including intellectual property, limitation of liability, and indemnification) will continue to apply.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Delaware.
